다만 이때 fair market value 에 해당하는 금액으로 보상을 해 주어야 하고,
(a) the fair market value of the
Eligible Participant's Qualifying Staked Tokens at the time of redemption; (b) the fair
market value of the Base Activation Amount and Bonus Phase Amount into which such
Qualifying Staked Tokens would otherwise have been exchangeable pursuant to the
Equity Purchase Election if a Backpack Exit Event had occurred on such date; (c) a blended,
weighted, or discounted valuation of any of the foregoing; or (d) such other methodology
as the applicable Backpack Company deems appropriate in the circumstances.
The
applicable Backpack Company's determination of the Qualifying Value shall be final,
conclusive, and binding on all parties, and shall not be subject to challenge, appeal, or
review by any Eligible Participant or any other person, absent manifest error.
